Please read carefully. By sending a message to the Zeno WhatsApp chatbot or using the Service in any way, you agree to these Terms. If you do not agree, do not use the Service.
1. Definitions
- "Service" — the Zeno WhatsApp chatbot, website (zenohq.in), and all related software, features, and APIs.
- "We", "us", "Zeno" — the operator of the Service, Aditya Sharma, individual proprietor, India.
- "You", "User", "Business" — the individual or business entity that registers for and uses the Service.
- "Customer" — a buyer of your business to whom you send invoices via Zeno.
- "Invoice" — a GST or non-GST bill created through the Service.
- "Subscription" — a paid monthly plan that entitles you to use the Service beyond the trial period.
- "Gateway Fee" — the fee charged by Razorpay for processing payments through UPI payment links.
2. The Service
Zeno provides a WhatsApp-based assistant that helps small businesses:
- Create and send GST-compliant and non-GST invoices as PDF documents via WhatsApp.
- Generate UPI payment links (via Razorpay) attached to invoices.
- Track customer udhaar (credit) balances.
- Send automated payment reminders to customers.
- Generate business reports (daily, monthly, outstanding balances).
The Service is provided on an "as is" basis. We reserve the right to add, modify, or remove features at any time. We will notify active subscribers of material changes at least 7 days in advance.
3. Eligibility
To use the Service, you must:
- Be at least 18 years of age.
- Be operating a lawful business in India.
- Have a valid WhatsApp account and phone number.
- Agree to these Terms on behalf of yourself and any business entity you represent.
If you are registering on behalf of a company, partnership, or other legal entity, you represent that you have authority to bind that entity to these Terms.
4. Subscription and billing
Zeno is operated by Aditya Sharma, sole proprietor, Jaipur, India. Contact: hello@zenohq.in.
Free plan
New users receive 30 invoices free — with no time limit and no credit card required. After 30 invoices are created, the Service will prompt you to upgrade to Pro to continue creating invoices. All other features (payment reminders, daily reports, udhaar tracking) remain usable on the Free plan within the 30-invoice limit.
Pro Monthly
The Pro Monthly plan is priced at ₹499 per month + GST as applicable. The subscription auto-renews monthly. Access continues until the end of the paid period. You may cancel at any time; cancellation takes effect at the end of the current billing period.
Pro Annual
The Pro Annual plan is priced at ₹4,499 per year + GST as applicable, billed once per year. This represents approximately 3 months free compared to the monthly rate. Pro-rated refunds for unused complete months may be issued for Annual plans, minus any discount already applied, as described in the Refund Policy.
Billing
Billing is handled via Razorpay payment links sent to you on WhatsApp or email. If a payment fails, we will notify you and provide a grace period of 7 days before suspending access. Pricing is subject to change with 30 days' notice to existing subscribers.
Cancellation
You may cancel your subscription at any time by messaging Zeno on WhatsApp or emailing hello@zenohq.in. Cancellation takes effect at the end of the current billing period. See our Refund Policy for eligible refund cases.
5. Payment gateway fees
Important — please read: When your customers pay via the UPI payment links generated by Zeno, a payment gateway fee of 2.36% of the transaction amount (2% Razorpay fee + 18% GST on that fee) is deducted by Razorpay before the settlement reaches your bank account. This fee is charged by Razorpay, not by Zeno.
For example: if your customer pays ₹1,000 via a Zeno payment link, you will receive approximately ₹976 in your bank account (₹1,000 × 0.9764 = ₹976.40, settled within 2-3 business days).
The 2.36% deduction is standard Razorpay UPI pricing as of the date of these Terms. Razorpay's rates are subject to change and may vary based on transaction volume or Razorpay's pricing updates. We will endeavour to notify you of material changes to gateway fees but are not responsible for changes made by Razorpay.
The payment gateway fee applies only to payments collected through Zeno-generated payment links. Payments you collect directly (cash, bank transfer, etc.) and record manually are not subject to any gateway fee.
Zeno does not charge any additional transaction fee beyond the Razorpay gateway fee. The ₹499/month subscription covers your use of the Zeno platform.
6. Acceptable use
You agree to use the Service only for lawful business purposes. You must not:
- Use Zeno to create fraudulent, fictitious, or misleading invoices.
- Use the Service to facilitate tax evasion, money laundering, or any illegal financial activity.
- Send unsolicited commercial messages to individuals who have not consented to receive them.
- Attempt to reverse-engineer, hack, or disrupt the Service or its underlying infrastructure.
- Use the Service in a way that violates WhatsApp's Terms of Service or Meta's Business Policy.
- Impersonate another business or individual.
- Use the Service for any purpose that would impose an unreasonable or disproportionate load on our infrastructure.
Violation of acceptable use may result in immediate suspension or termination of your account without refund.
7. GST compliance
Zeno provides tools to help you generate GST invoices. However:
- You are solely responsible for the accuracy of GSTIN, HSN codes, GST rates, and place of supply that you provide.
- Zeno calculates GST based on the rates and details you input. We do not independently verify whether the rates are correct for your specific goods or services.
- Filing GST returns, maintaining GST records, and all GST compliance obligations remain your responsibility as the registered taxpayer.
- Zeno is not a GST Suvidha Provider (GSP) and does not directly integrate with the GSTN portal.
We recommend consulting a qualified CA or tax professional for complex GST situations.
8. WhatsApp and Meta policies
The Service is built on the WhatsApp Business API, which is governed by Meta's terms and policies. You acknowledge that:
- Zeno can only send WhatsApp messages to customers who have previously messaged your business number or who have explicitly opted in to receive messages.
- Automated outbound messages (such as payment reminders and invoice notifications) sent by Zeno to your customers are governed by Meta's Business Messaging Policy.
- Meta may suspend or restrict the WhatsApp number used by Zeno for policy violations, which could temporarily interrupt the Service. We are not liable for such interruptions.
- You are responsible for ensuring that your use of Zeno's messaging features complies with applicable laws (including India's Telecom Commercial Communications Customer Preference Regulations) and Meta's policies.
9. Intellectual property
All intellectual property in the Service — including software, brand, logo, and content — is owned by Zeno or its licensors. You receive a limited, non-exclusive, non-transferable right to use the Service for your own business purposes during the term of your subscription.
You retain all rights to your business data, customer data, and invoice data. By using the Service, you grant Zeno a limited licence to process, store, and transmit your data solely to provide the Service.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that:
- The Service will be uninterrupted or error-free at all times.
- Invoice PDFs generated will be accepted by all tax authorities without modification.
- Payment links will always be successfully created (subject to Razorpay availability).
- WhatsApp message delivery is guaranteed (subject to Meta's infrastructure).
The Service is a tool to assist your business operations. You remain solely responsible for your business's financial accuracy, legal compliance, and tax obligations.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZENO'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO ZENO IN THE ONE (1) MONTH IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
IN NO EVENT SHALL ZENO BE LIABLE FOR:
- Loss of revenue, profits, business, or data.
- Indirect, incidental, special, consequential, or punitive damages.
- Payment gateway fees charged by Razorpay.
- Any action or inaction of Meta/WhatsApp, Razorpay, or other third-party services.
- GST penalties arising from inaccurate information you provided.
Some jurisdictions do not allow limitations on implied warranties or consequential damages; in such cases, the above limitations apply to the maximum extent permitted by law.
12. Indemnification
You agree to defend, indemnify, and hold harmless Zeno and its affiliates, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use of the Service in violation of these Terms.
- Invoices or communications you create and send using Zeno that are fraudulent, misleading, or unlawful.
- Your violation of any applicable law, including the CGST Act, IT Act, or consumer protection laws.
- Your violation of any third party's rights, including your customers' privacy rights.
13. Termination
You may terminate your account at any time. We may suspend or terminate your account immediately if:
- You violate these Terms or our Acceptable Use policy.
- We are required to do so by applicable law or regulatory authority.
- You fail to pay subscription fees after the grace period.
- Meta suspends or terminates the WhatsApp number used for the Service.
Upon termination, your right to use the Service ceases immediately. We will retain your data for the period described in our Privacy Policy, after which it will be deleted.
14. Dispute resolution
Governing law
These Terms are governed by the laws of India. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of courts in India.
Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service that cannot be resolved through good-faith negotiation within 30 days shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in English or Hindi, at the election of the claimant, and the arbitral award shall be final and binding. The seat of arbitration shall be Jaipur, Rajasthan, India.
Small claims
Notwithstanding the above, either party may bring an individual claim in a court of competent jurisdiction for disputes involving amounts not exceeding ₹20 lakh, without being required to proceed through arbitration.
Class action waiver
You agree that you may bring claims against Zeno only in an individual capacity, and not as a plaintiff or class member in any purported class action or representative proceeding.
15. General provisions
Entire agreement
These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Zeno regarding the Service and supersede all prior agreements.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
No waiver
Failure to enforce any provision of these Terms does not constitute a waiver of that provision.
Assignment
You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations to a successor in the event of a merger, acquisition, or sale of substantially all assets.
Force majeure
We are not liable for delays or failures in performance resulting from causes beyond our reasonable control, including internet outages, WhatsApp/Meta downtime, Razorpay outages, acts of government, or natural disasters.
Changes to Terms
We may update these Terms at any time. We will notify you of material changes via WhatsApp at least 7 days before they take effect. Continued use of the Service after that date constitutes acceptance.
